1.1 “User of these General Terms and Conditions,” hereinafter referred to as BetonXtra B.V.
1.2 “Buyer”: any (legal) person who has given BetonXtra B.V. an order to perform work, including its representatives, authorized persons, and legal successors.
1.3 “Work”: all work to which an order refers or which is carried out by or on behalf of BetonXtra B.V., in the broadest sense of the word— including, but not limited to, the trade in and sale/purchase of natural stone and concrete-related services for businesses, private individuals, and institutions.
1.4 “Documents”: all items provided by the Buyer to BetonXtra B.V., and/or all items produced by BetonXtra B.V. during execution of the assignment — such as drawings, files, and other data carriers.
2.1 By filing these General Terms and Conditions with the court registry in Amsterdam, all previous versions issued by BetonXtra B.V. have lapsed.
2.2 These Terms apply to all agreements concluded between BetonXtra B.V. and the Buyer. They also apply to agreements requiring third-party involvement.
2.3 Agreements with employees or third parties acting on behalf of BetonXtra B.V. are only binding if confirmed in writing by BetonXtra B.V.
2.4 The Buyer accepts the applicability of these Terms by merely placing an order with BetonXtra B.V. Reference to the Buyer’s own terms is insufficient unless explicitly refused in writing.
2.5 Deviations from these Terms apply only to the specific assignment they concern, unless confirmed in writing for future agreements.
2.6 Any deviating agreements with agents, representatives, or intermediaries are only valid if confirmed in writing by BetonXtra B.V.
2.7 “Buyer” refers to anyone who commissions BetonXtra B.V. to deliver goods or services.
3.1 All offers are non-binding unless explicitly stated otherwise. BetonXtra B.V. is only bound after written or online confirmation.
3.2 If an offer is based on post-calculation, the listed prices are estimates only; actual hours and costs will be invoiced.
3.3 Composite quotations do not oblige BetonXtra B.V. to deliver part of the work for a proportional price.
3.4 If no assignment is issued, BetonXtra B.V. may charge design, calculation, or research costs incurred.
3.5 Prices are exclusive of VAT unless explicitly stated otherwise.
3.6 BetonXtra B.V. may adjust prices due to wage increases, taxes, or other cost changes — even after order confirmation.
3.7 If no order follows, the Buyer must return all quotation documents within eight days.
3.8 Minor variations in color, descriptions, models, or images do not justify rejection of delivery.
4.1 A contract is deemed formed once BetonXtra B.V. has confirmed the assignment in writing or has begun execution.
5.1 When data is supplied by the Buyer, BetonXtra B.V. is not liable for incomplete or incorrect information unless proven otherwise.
5.2 Partial deliveries may be invoiced separately.
5.3 Delays not caused by BetonXtra B.V. are at the Buyer’s risk.
5.4 Execution deadlines are not strict deadlines unless explicitly agreed.
5.5 Additional work will be charged separately.
6.1 In cases of force majeure, BetonXtra B.V. may suspend the agreement or dissolve it without being liable for damages.
7.1 Complaints must be reported in writing within eight days after delivery or discovery of the defect.
7.2 Defects in part of the delivery do not entitle the Buyer to reject the entire order.
7.3 BetonXtra B.V. is not liable for defects caused by misuse or external factors.
7.4 Warranty is limited to that provided by the manufacturer or supplier.
8.1 BetonXtra B.V. is only liable for damages resulting from intent or gross negligence proven by the Buyer.
8.2 Any liability is limited to the invoice value of the relevant delivery.
8.3 BetonXtra B.V. is not liable for consequential damages including loss of profit.
8.4 Buyer indemnifies BetonXtra B.V. against claims from third parties.
8.5 Advice is given without liability unless explicitly agreed otherwise.
8.6 Incorrect or incomplete information provided by the Buyer is at the Buyer’s risk.
9.1 Payment must be made within the term stated on the invoice.
9.2 Late payment results in statutory commercial interest and collection costs.
10.1 Delivered goods remain the property of BetonXtra B.V. until full payment is made.
11.1 Dutch law applies.
11.2 Disputes will be submitted to the competent court in Amsterdam.
